World of Amelia Playmakers Terms of Service

Introduction

Welcome to the World of Amelia: Playmakers Program (the “Program”), provided by World of Amelia OÜ (the “Company”). By participating in this Program, you agree to comply with these Terms of Service (TOS). The Program is designed to offer participants access to infrastructure, educational benefits, and opportunities to contribute to company projects in exchange for free services or membership. These terms govern your participation, including the nature of the contractor relationship, contributions, intellectual property rights, payment terms, and legal obligations.

Roles and Participation

Participants in the World of Amelia: Playmakers Program agree to act as independent contractors. Contractors are not employees of World of Amelia OÜ and are free to choose their own working hours. There is no obligation to follow a set schedule, and contractors are responsible for completing agreed-upon tasks at their discretion.

Tasks and Exchange for Free Services

Contractors agree to perform specific tasks as assigned by World of Amelia OÜ. These tasks may involve modding, content creation, community management, leadership, or other roles based on the contractor’s skills and the needs of the Program. In exchange for performing these tasks, contractors will receive free membership or services within the World of Amelia: Playmakers Program. The scope and nature of the services offered are flexible and depend on the contractor’s contributions and the specific needs of the company.

Benefits may include:

Access to Game Packages: Contractors may receive free access to in-game packages or services for the games they contribute to. If a contractor contributes to the company as a whole, they may receive access to packages across all servers and games managed by World of Amelia OÜ.
Educational Opportunities: Contractors will have access to training and guidance in areas such as leadership, game design, coding, moderating, customer support, in-game incident handling, conflict resolution, and more. These opportunities are intended to foster personal and professional growth, tailored to each contractor’s contributions and involvement in the Program.
Influence on the Project: Contractors are encouraged to contribute their own ideas for improving or developing the project. While all ideas are subject to review to ensure alignment with the company’s vision and values, contractors will have a voice in shaping the direction of the project.
Professional Promotion: In certain cases, where a contractor’s external business or practice aligns with the company’s values and business model, World of Amelia OÜ may offer promotional support for their work. This may include featuring them on the website or connecting them with relevant industry contacts, provided it does not conflict with the interests of the company.

Contractors have the right to decline tasks at their discretion, ensuring their participation remains fully voluntary. However, the benefits offered may be adjusted based on the contractor’s level of involvement and contributions. Contractors who consistently decline tasks may experience a reduction in the services or benefits they receive, as these are directly tied to the tasks they complete.

Voluntary Contributions

All content contributions made by contractors are considered voluntary and part of the contractual agreement in exchange for free services. Contractors contribute content as part of their participation in the Program and retain control over their schedules while adhering to the agreed-upon tasks.

Intellectual Property and Ownership

All content, creative works, mods, designs, or assets created by contractors as part of the World of Amelia: Playmakers Program are considered the intellectual property of World of Amelia OÜ. By contributing content:

Contractors acknowledge that World of Amelia OÜ retains full ownership of any content created during the Program.
Contractors may describe their role in the project, the tasks they completed, and the challenges they faced in a professional capacity, such as in portfolios, job applications, or interviews. However, they may not distribute, modify, or claim ownership over any content produced within the Program without the express written consent of the Company.
At the discretion of the Company, contractors may be featured on the World of Amelia OÜ website or other public channels as a form of sponsorship or recognition for their contributions. Contractors may opt-out of this recognition by informing the Company in writing.

Independent Contractor Status

Contractors participating in the Program are classified as independent contractors, not employees. This distinction means:

Contractors have full control over how and when they perform agreed-upon tasks.
World of Amelia OÜ will not set working hours or schedules for contractors.
There are no employment benefits or employee protections extended to contractors.

No Compensation Agreement

By participating in the Program, contractors understand that they will not receive any form of monetary compensation for the tasks performed. Instead, contractors are compensated through free membership or services provided by the Program, as agreed upon before tasks are assigned.

Confidentiality and Non-Disclosure

Contractors agree to maintain strict confidentiality regarding any proprietary information, tools, assets, or project details encountered during their participation. Contractors may not disclose or share proprietary information or assets with third parties without the express written consent of World of Amelia OÜ. This Non-Disclosure Agreement (NDA) remains in effect both during participation and after it ends. The obligation of confidentiality continues indefinitely unless disclosure is required by law or until the information becomes public through no fault of the contractor.

Subscription Payments and Cancellation

Participants who do not opt for contractor status and instead pay for access to the Program must adhere to the following:

Payments are required before the start of each month. Invoices will be issued on the 1st of each month, and payments must be made by the 15th.
If payment is not made by the 15th, the Company reserves the right to suspend or terminate access to the Program.
Refunds are not guaranteed, unless required by law, and partial refunds for unused portions of the month will not be issued once the month has begun.

Recognition, Discounts, and Merchandise

At its discretion, World of Amelia OÜ may offer participants recognition, discounts, or merchandise as a token of appreciation for their engagement and participation in the Program. These rewards are voluntary and are not considered compensation for any contributions or work.

Plugin and Mod Development Purchases

World of Amelia OÜ may cover the costs of plugins, mods, or other expansion materials purchased from external parties, at the Company’s discretion. In cases where the Company does not have the budget for such purchases and the expansion material is deemed necessary by participants, the following process will apply:

Participant Purchase: Participants may choose to cover the cost of the expansion material by paying World of Amelia OÜ after receiving an invoice from the Company.
Reimbursement: The Company will reimburse the participant for the cost of the expansion material on the next invoice or at a time mutually agreed upon by the Company and the participant.
Company Discretion: World of Amelia OÜ reserves the right to decide whether a specific plugin or mod is necessary and if it will be reimbursed based on the needs of the Program and the available budget.

Termination and Dispute Resolution

Termination: Either party may terminate participation in the World of Amelia: Playmakers Program at any time, with or without cause, by providing written notice via email or another agreed-upon method. If a participant leaves the Playmakers Discord without prior notice, it will be considered an act of termination (ghosting). In case the account is hacked, communication between the parties will take place. If no resolution is found, termination will stand.
2FA Requirement: All Playmakers with access to admin functions in any of the World of Amelia Discords must have Two-Factor Authentication (2FA) enabled at all times. Failure to comply may result in temporary suspension of access until 2FA is set up.

12.2 Dispute Resolution

In the event of any dispute arising between World of Amelia OÜ and a contractor regarding these Terms of Service or any aspect of the Program:

Negotiation: Both parties agree to first attempt to resolve the dispute through good faith negotiation.
Mediation: If a resolution cannot be reached through negotiation, the dispute will be submitted to non-binding mediation. The parties will mutually agree upon a neutral mediator, and each party will bear its own costs associated with the mediation process.
Binding Arbitration (Remote): If mediation fails, the dispute will be resolved through binding arbitration, which may be conducted remotely via video conference or other virtual means. The arbitration will be conducted in accordance with the rules of the Arbitration Court of the Estonian Chamber of Commerce and Industry (ECCI). The arbitrator’s decision shall be final and binding on the parties, and judgment may be entered in any court of competent jurisdiction. Each party will bear its own costs of arbitration unless otherwise agreed.

Paid Subscription to the Playmakers Program

Participants in the World of Amelia: Playmakers Program may opt for a paid subscription that provides access to the tools, services, and educational resources necessary to build and manage their own communities.

Changes to the Terms of Service

World of Amelia OÜ reserves the right to modify, amend, or update these Terms of Service at any time. The Company may provide notice of such changes by electronic means, including but not limited to email, the Playmakers Program platform, social media platforms, or Discord. It is the responsibility of the participants to review the Terms regularly. Continued participation in the Playmakers Program after any changes have been made constitutes acceptance of the updated Terms.

World of Amelia OÜ is an independent entity and is not affiliated, associated, authorized, endorsed by, or in any way officially connected with any of the game developers, publishers, or licensors of the games hosted on our servers, including but not limited to 7 Days to Die, ARK: Survival Evolved, Minecraft, or any other games we support. All trademarks, service marks, and company names or logos mentioned in connection with the games are the property of their respective owners.
